Thank you for choosing to advertise with the broadcast brands of Capitol Broadcasting Company, Inc., on Television with: WRAL-TV, WRAL.2, WRAZ-TV, WRAZ.2, WILM-TV, WNGT-TV; via Digital on: WRAL.com; and via Radio with: WRAL-FM, WCMC-FM, WDNC-AM, WRAL-HD2, WRAL-HD3, WAZO-FM, WILT-FM, WKXB-FM, WMFD-AM and WRMR-FM (collectively “CBC”).

This document outlines the terms and conditions (“Terms“) you, the client (the “Client”) agree to with your request for and purchase of Advertising (defined below) inventory on any of the CBC Properties (defined below). By submitting your order or request for Advertising inventory, Client agrees to be bound by the following Terms:

  1. Orders and Payment. Client’s request for Advertising inventory must be detailed in writing to CBC. Invoices are issued monthly and must be paid within thirty (30) days of the invoice date. However, CBC, in its sole discretion, may require advance payment in full. CBC reserves the right to adjust rates based on demand and availability, with written notice to Client. Upon such notice, Client may cancel the order, with written notice, within ten (10) days of receipt of the notice. Late payments incur a 1.5% monthly service charge and Client agrees to pay collection fees, reasonable attorney’s fees and court costs incurred by CBC in pursuing and collecting payment.
  2. Sales on Credit. The Client (a person or entity) applying for credit is the “Applicant”. “Station” will refer to the CBC Property with which Applicant’s Advertising order is placed. If Applicant is an advertiser, Applicant acknowledges it has the authority to purchase advertising inventory from Station. If Applicant is an advertising agency or another service entity purchasing Services on behalf of a third party (a “Third Party”), Applicant acknowledges that it has the authority to purchase advertising inventory from Station on behalf of the Third Party. Notwithstanding the above, Applicant is jointly and severally liable for the timely payment of all invoices. Invoices are due within thirty (30) days of the date of the invoice. Any dispute by Applicant of any advertising or invoice amount must be reported to the Station in writing within twenty-one (21) days from the date of the related invoice. Failure to report a dispute within the timeframe will constitute a waiver of any claim by Applicant.  A pending dispute will not affect the Applicant’s obligation to make payment of all non-disputed amounts within thirty (30) days of the invoice date. Applicant certifies that all statements and information provided to Station, including any requested financial statements are true, correct, and complete. Station is hereby authorized to verify Applicant’s credit worthiness through any source available to it. If credit is approved, Station reserves the right to cancel credit at any time with or without notice for whatever reason.
  3. Ad Placement. CBC has sole discretion over Ad placement unless specifically agreed otherwise. Ad placement is not guaranteed and may be subject to preemption. In such an event, CBC will air the Ad within similar inventory and in a comparable timeslot, if applicable. Client understands that placements of any Ad could result in the Advertisement being displayed on all platforms where the desired program airs, which could include OTT, multichannel video programming distributors (“MVPDs”), video-on-demand and mobile applications. Client agrees to secure all necessary releases and licensing agreements needed to air the Advertisement.
  4. Impression Delivery. CBC will use reasonable efforts to deliver the agreed-upon impressions. If 90% or more of impressions are delivered according to the order, the obligation is considered fulfilled. If there is a shortfall in the delivery of more than 10% of the of what the order stated, Client’s sole remedy is to accept make-good impressions in the same manner or class of time.
  5. Advertisement Standards.  Advertisements must (a) be accurate, (b) comply with applicable regulations established by the Federal Communications Commission and Federal Trade Commission, (c) adhere to applicable privacy laws, industry standards and best practices, and (d) must not be (x) misleading, offensive or discriminatory, (y) or infringe on a third party’s intellectual property.
  6. Advertisement Delivery. Client’s Advertisement must be delivered to CBC by the established deadline, and in the established format or it may not air or be displayed as specified in the order. CBC is not liable for the inability to air an Ad that does not arrive on time or in the correct format. In any such case, Client is responsible for payment of the reserved time.
  7. Intellectual Property. Client must either own or obtain all rights, title and interest in any Advertisement submitted to CBC. Client and any creator hired by Client will retain ownership of such advertisement. Client grants CBC a non-exclusive, world-wide, royalty-free license to use, distribute, copy, display and modify Advertisements as needed.
  8. Data and Privacy. CBC has the right to collect and analyze data related to Advertisement performance and will use such data solely in aggregated or other de-identified form according to applicable privacy laws. Client must comply with all applicable privacy laws and obtain necessary consent.
  9. Non-Discrimination. CBC does not discriminate and does not allow or condone discrimination in the sale or purchase of advertising time, or in the message delivered in such advertising. CBC will not accept advertising where the intent is clear to discriminate against a person or group based on race, ethnicity, nationality, gender, gender identity or religious beliefs.
  10. Representations and Warranties. Client represents and warrants that all content it provides to CBC for the Advertisement meets the standards of these Terms. CBC disclaims any warranty against an overlay appearing on the Advertisement (e.g., an EAS notification) and makes no warranty regarding advertisement effectiveness or performance.
  11. Indemnification and Liability. Client agrees to indemnify CBC against all third-party claims arising from Advertisements and/or Client’s breach of these Terms. CBC’s liability is limited to the cost of the advertising services provided.
  12. Governing Law and Dispute Resolution. These Terms are governed by the laws of the state of North Carolina. Any disputes will be resolved in the courts located in Wake County, North Carolina.
  13. Cancellation/Termination. Either party may cancel an order at any time if the other party commits a material breach of these Terms. CBC reserves the right to terminate, cancel, or suspend any Advertising order at its sole discretion for any reason or for no reason. Clients remain obligated to pay for services rendered prior to termination.
  14. Definitions
    “Advertisement,” “Advertising” or “Ad” – Any content placed on a CBC Property, including but not limited to visual, audio, and textual elements.
    “Advertiser” – The person or entity whose product or service is being promoted.
    “Client” – The Advertiser and/or any agency acting on the Advertiser’s behalf.
    “Properties or Properties” – Any platform owned, operated, or utilized by CBC for advertising purposes.
  15. Additional Provisions
    • CBC may offer make-goods for preempted Advertisements.
    • CBC reserves the right to reject or remove any Advertisement at its discretion.
    • CBC may use third-party verification services to audit ad performance.
    • Client must disclose any use of sensitive categories (e.g., alcohol, gambling) in their Advertisements.
    • Client is responsible for ensuring Advertisements are accessible and comply with disability laws.
